Terms

These terms cover your use of Mersonry estimating software (the "Software") and any setup services you buy from Mersonry ("we", "us"). If you and Mersonry sign a separate written agreement, that agreement controls where it differs from these terms.

1. Your license

While your plan is paid and current, we give you a non-exclusive, non-transferable license to use one copy of the Software for your company's own business, by your employees and contractors, within the seats and trades your plan includes.

2. What you get

A copy of each Mersonry app (the estimator and the crew time tracker) published in your own Claude account, the starter data included at delivery, the user guide, and email support at [email protected]. Updates we release are included while your plan is current.

4. Your Claude account

The Software runs only inside Claude, a service of Anthropic that we do not own or control. You need to keep a paid Claude plan that supports artifacts, billed by Anthropic. Anthropic may change, limit or discontinue features the Software relies on, and your Claude plan's usage limits apply. We are not responsible for Claude outages, changes, or data loss caused by the platform.

5. What you can't do

Don't resell, sublicense, publish, share outside your company, or give copies of the Software to anyone else; don't remove our notices or try to get around the license code; and don't use the Software to build a competing product.

6. Ownership and your data

We own the Software, including its code, category system, assemblies, rules and documentation. You own your data: your proposals, price book, jobs and settings live in the database attached to your copy, in your Claude account. We don't host that data and can't see it unless you share your copy with us. Keep your own backups with the app's backup feature.

8. Setup services

If you buy In-Person Setup or the Embedded Week, we set up your copy, load your company details and pricing, and train your team, as described in your quote. On jobsite visits we follow your site safety rules and your foreman's instructions, observe and record only, and don't direct your crew, operate your equipment, or perform construction work. You control your sites and are responsible for site safety. Production rates we record are observations from specific jobs, not guarantees.

9. If it doesn't work

If your copy doesn't open or save in your Claude account within 14 days of delivery and we can't fix it within 14 more days, you can cancel for a full refund of your first payment. For 90 days after delivery we warrant that the Software will substantially work as described in its user guide; your remedy is repair or a refund of fees paid for the affected period.

10. Disclaimer and limits

Except as stated in section 9, the Software and services are provided "as is." We disclaim all other warranties, including merchantability, fitness for a particular purpose, and the accuracy of any estimate, price, quantity or production rate. Neither party is liable for lost profits, lost bids, underpriced or overpriced jobs, lost data, or indirect, incidental, special or consequential damages. Our total liability is limited to the fees you paid us in the 12 months before the claim. These limits don't apply to fraud, gross negligence, willful misconduct, or bodily injury caused by a party's negligence.

11. Ending the license

You can cancel any time. We may end your license if you break section 5 and don't fix it within 15 days of notice. When the license ends, you stop using the Software. You keep your data and can export it first.

12. General

California law governs these terms. If a dispute comes up, we'll first try to resolve it by talking in good faith for 30 days. If a provision is unenforceable, the rest stays in effect. We may update these terms; we'll post the date above and email current customers about material changes.
